ESearchCy — Cyprus Company Records Service

1. Who we are
The ESearchCy platform (the "Platform" or "Service"), available at https://esearchcy.com, is operated by Tortera Holdings Ltd, trading as ESearchCy — a private company limited by shares incorporated in the Republic of Cyprus with registration number HE 496600, whose registered office is at [[TO CONFIRM: registered office — street and number, postcode, town, Cyprus]] ("we", "us", "our", or the "Provider").

2. What the Service does
The Service enables users to request and receive copies of company information and documents held in public registers, including the register maintained by the Department of the Registrar of Companies and Intellectual Property of the Republic of Cyprus (the "Registrar"). Deliverables may include company profiles, filings, officer and shareholder records, share capital details, charges, annual accounts, and related documents, delivered in electronic form (including PDF bundles of page images and the Registrar’s own filed documents) in Greek and/or English (the "Deliverables").
We are not the Registrar and are not affiliated with, endorsed by, or acting on behalf of any government authority. We act as an independent intermediary that retrieves, compiles, processes, and delivers publicly available registry records for a fee.
3. Acceptance of these Terms
By creating an account, placing an order, or continuing to use the Platform, you confirm that you have read, understood, and agree to these Terms of Use and our Privacy Notice. If you do not agree, you must not use the Service.
If you use the Service on behalf of a company or other legal entity, you represent that you are authorised to bind that entity, and "you" refers to that entity.
You must be at least 18 years old to use the Service.
We record your acceptance of these Terms (including the version accepted, the date and time, and technical metadata such as IP address and browser identifier) as described in the Privacy Notice.
4. Accounts
To place orders you must create an account with accurate, current, and complete information, and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at info@esearchcy.com of any unauthorised use.
We may suspend or terminate accounts that breach these Terms, our Acceptable Use Policy, or applicable law.
5. Orders, pricing, and payment
- Prices are displayed on the Platform before you order (currently one search credit per company file, plus the Registrar’s €10 file-study fee) and may change at any time for future orders. Prices include or exclude VAT as stated at checkout.
- Credit purchases are processed by our payment provider, Stripe. The Registrar’s €10 file-study fee is paid by you directly on the secure payment page of JCC Payment Systems Ltd. We do not store full payment card details.
- An order is accepted when we confirm it by email or begin fulfilment. We may decline or cancel any order (for example, where the requested record cannot be located, where fulfilment is prevented by registry unavailability, or where fraud is suspected); in that case we will refund amounts paid for the unfulfilled order.
- Delivery times shown on the Platform (e.g. "in minutes") are estimates and depend on the availability and responsiveness of the underlying registry systems. They are not guaranteed.
5.1 Digital content and right of withdrawal (EU/EEA consumers)
If you are a consumer in the EU/EEA, you normally have a 14-day right of withdrawal for online purchases. The Deliverables are digital content supplied on a one-off basis and tailored to your request. By placing an order you expressly consent to immediate performance and acknowledge that you lose your right of withdrawal once delivery of the digital content has begun. Refunds are otherwise governed by our Refund Policy.
6. Nature and source of the information
- Deliverables are compiled from public registers and other official sources. The content originates from third parties (including the Registrar) and from filings made by the companies themselves.
- Registry records may be inaccurate, incomplete, out of date, or subject to processing delays at source. We do not verify the underlying accuracy of registry data.
- Where Deliverables include translations, optical character recognition (OCR), or AI-assisted processing (e.g. to make documents searchable or to summarise them), the output may contain errors. See our AI Usage Notice.
- Deliverables are provided for lawful information purposes only. They do not constitute official certified copies or certificates unless expressly stated. If you require certified documents, you must obtain them from the Registrar directly.
7. No professional advice
The Service provides factual records and document retrieval only. Nothing on the Platform or in any Deliverable constitutes legal, financial, tax, investment, or other professional advice, and no lawyer-client or advisory relationship is created. You should obtain independent professional advice before acting on any information obtained through the Service. See the Disclaimers and Limitation of Liability notice.
8. Licence and permitted use
Upon full payment, we grant you a non-exclusive, non-transferable licence to use the Deliverables for your internal business or personal purposes, including due diligence, compliance, research, and record-keeping.
You must not:
- resell, republish, or systematically redistribute Deliverables or Platform content as a competing data service;
- use the Service or any data obtained through it for unlawful purposes, including harassment, stalking, discrimination, or unlawful direct marketing;
- process personal data contained in Deliverables (e.g. names of company officers) in breach of applicable data protection law — as between you and us, you are the controller of any personal data you obtain through the Service and are responsible for your own compliance;
- scrape, crawl, reverse engineer, or attempt to gain unauthorised access to the Platform, or interfere with its operation;
- use automated means to place orders except through interfaces we expressly provide.
Further restrictions are set out in the Acceptable Use Policy, which forms part of these Terms.
9. Intellectual property
The Platform, its software, design, branding, and content (excluding underlying public registry records) are owned by us or our licensors and protected by intellectual property laws. No rights are granted except as expressly set out in these Terms. Public registry records remain subject to the terms of the issuing authority.
10. User content and uploaded data
If you upload, submit, or enter any content into the Platform (including search queries, company identifiers, files, or messages), the User Content and Uploaded Data Notice applies. In summary: you are responsible for the legality and accuracy of what you submit; you must have the right to submit it; and you grant us a licence to process it as needed to provide the Service.
11. Third-party services
The Service depends on third-party services, including hosting (Google Firebase), payment processing (Stripe and JCC), email delivery (Resend), and the public registries themselves. We are not responsible for third-party services, their availability, or their content. See the Third-Party Services Notice.
12. Availability
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue the Service (in whole or in part) at any time. Scheduled or emergency maintenance, registry downtime, and events beyond our reasonable control may affect availability and delivery times.
13. Disclaimers
To the maximum extent permitted by law, the Service and all Deliverables are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, currency, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the records retrieved are accurate, complete, or up to date at source, or that the Service will meet your requirements.
Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded, including mandatory consumer rights.
14. Limitation of liability
To the maximum extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or anticipated savings, arising out of or in connection with the Service or any Deliverable, even if advised of the possibility.
- We shall not be liable for losses arising from: (a) inaccuracies, omissions, or delays in public registry data; (b) decisions made in reliance on Deliverables or AI-assisted output; (c) third-party services, including registry, hosting, or payment outages; (d) events beyond our reasonable control.
- Our total aggregate liability arising out of or in connection with the Service in any 12-month period shall not exceed the greater of (a) the total fees you paid to us in that period, and (b) €100.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited under applicable law. Statutory rights of consumers remain unaffected.
15. Indemnity
You will indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service or Deliverables, or your unlawful processing of personal data obtained through the Service, except to the extent caused by our own breach.
16. Data protection
Our processing of personal data is described in the Privacy Notice and Cookie Policy. Where Deliverables contain personal data of third parties (e.g. company officers), you are independently responsible for your onward use of that data.
17. Referral programme
- We may operate an invitation-only referral programme. Participation is enabled for individual accounts at our sole discretion and may be modified or withdrawn at any time.
- Where enabled for your account, you may earn a commission of 20% of the net (excluding VAT) value of credit purchases made by accounts created through your referral link or referral code, up to a lifetime maximum of €1,000 per participant.
- Referral rewards become applicable only after the searches attributable to accounts you referred collectively exceed 2,000 searches; until that threshold is met, rewards accrue provisionally and no payout may be requested. We may adjust this threshold prospectively at any time.
- Accrued rewards may be withdrawn once they amount to at least €50, to a bank account or payment address you nominate. Payouts are processed manually and may take several working days.
- Self-referrals, referrals of accounts under common ownership or control, and any abuse or gaming of the programme void the related rewards. We may withhold or reverse rewards obtained in breach of these Terms, and may suspend or terminate the programme at any time.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Platform or by email, and the updated version will show a new "Last updated" date and version number. Where required, you will be asked to accept the updated Terms on your next login, and continued use of the Service is conditional on acceptance. Orders already placed are governed by the version in force at the time of the order.
19. Termination
You may close your account at any time. We may suspend or terminate your access for breach of these Terms, suspected fraud or unlawful activity, or where required by law. Sections which by their nature should survive (including 6–9, 13–16, 19–20) survive termination. Data handling on termination is described in the Data Retention and Deletion Notice.
20. Governing law and jurisdiction
These Terms and any dispute or claim arising out of them are governed by the laws of the Republic of Cyprus. The courts of the Republic of Cyprus shall have exclusive jurisdiction, except that consumers resident in the EU/EEA may also bring or defend proceedings in their country of residence, and mandatory consumer protections of that country remain available to them. The European Commission's Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.
21. General
If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor of our business. These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding the Service.
